YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE RAZORLAKE PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING DAMAGES FOR LOSS OF GOODWILL, USE, OR DATA OR OTHER INTANGIBLE LOSSES (EVEN IF THE RAZORLAKE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE RAZORLAKE SERVICES; (B) DELAYS OR DISRUPTIONS IN THE RAZORLAKE SERVICES; (C) VIRUSES OR OTHER MALICIOUS SOFTWARE OBTAINED THROUGH THE RAZORLAKE SERVICES; (D) GLITCHES, BUGS, ERRORS, OR INACCURACIES OF ANY KIND IN THE RAZORLAKE SERVICES; (E) ACTIONS OR INACTIONS OF THIRD PARTIES; (F) SUSPENSION OR OTHER ACTIONS TAKEN WITH RESPECT TO YOUR RAZORLAKE ACCOUNT; (G) ANY NON-EXECUTION OR DEFECTIVE EXECUTION IN RELATION TO A RAZORLAKE TRANSACTION THAT WE HAVE MADE IN ACCORDANCE WITH A UNIQUE IDENTIFIER GIVEN TO US BY YOU WHICH PROVES TO BE INCORRECT; (H) ANY LOSSES AS A RESULT OF A REQUIREMENT IMPOSED ON US BY NEW LAWS OR REGULATIONS OR OUR OBLIGATIONS UNDER THE LAWS OF ANY JURISDICTION; (I) ANY LOSS SUFFERED BY YOU OR ANY THIRD PARTY DUE TO MATTERS OUTSIDE OUR CONTROL OR WHICH ARISES AS A RESULT OF YOU HAVING ACTED MEGLIGENTLY OR FRAUDULENTLY, EITHER ALONE OR TOGETHER WITH ANY OTHER PERSONS; OR (L) ANY OTHER MATTER RELATING TO THE RAZORLAKE SERVICES.

IN NO EVENT WILL THE RAZORLAKE PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID RAZORLAKE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, TWO HUNDRED AND FIFTY DOLLARS ($250).

To the extent permitted under applicable law, you agree to defend, indemnify, and hold harmless RazorLake, its affiliates, Service Provider, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the “RazorLake Parties”) from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from your breach of this Agreement, your violation of any rights of another, any of Your Content, or your other access, contribution to, use or misuse of the RazorLake Services.

RazorLake shall provide notice to you of any such claim, suit or demand. RazorLake reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting RazorLake’s defense of such matter. You may not settle or compromise any claim against the RazorLake Parties without RazorLake’s written consent.

The Company shall not be liable to Trader for any claims, losses, damages, costs or expenses, including attorneys’ fees, caused, directly or indirectly, by any events, actions or omissions, including, without limitation, claims, losses, damages, costs or expenses, including attorneys’ fees, resulting from government shutdown, civil unrest, war, insurrection, international intervention, governmental action (including, without limitation, exchange controls, forfeitures, nationalizations, devaluations), natural disasters, acts of God, market conditions, inability to communicate with any relevant person or any delay, disruption, failure or malfunction of any transmission or communication system or computer facility, whether belonging to the Company, Trader, or third-party service provider.
